End user License Agreement (EULA) Laura Csocsan Typefaces
↵ INTRODUCTION
This End-User License Agreement („EULA“) is a legal agreement between the Licensee and Laura Csocsán. This EULA agreement governs the Licensee‘s acquisition and use of the digital typeface software [„Typeface(s)“] provided by directly from Laura Csocsán or indirectly through a Laura Csocsán authorized reseller or distributor (a „Reseller“). The Licensee is the „License Owner“ meaning the business entity for who the typeface is at service and in use.
Please read this EULA agreement carefully before completing the installation process of the Typeface(s). It provides a license to use the Typeface(s) and contains warranty information and liability disclaimers. By installing and/or using the Typeface(s), the Licensee is bound by the terms of this EULA agreement. If the Licensee register for a free trial of the Typeface(s), this EULA agreement will also govern that trial version. Laura Csocsán hereby grants the Licensee a non-transferable, non-exclusive license to use the Typeface(s) in accordance with the terms of this EULA agreement.
↵ LICENSES
Purchasing a standard Single License (Mini) for 1-4 CPU’s permits the Licensee to install the Typeface(s) on the defined number of personal computers, within a company, institution, partnership, foundation, etc, and at a single location. This Single License grants use of the Typeface(s) on a maximum of 4 computers (owned by 1 respective owner), within one company or institution, at a single geographical location. If additional users are required, the Licensee must purchase a Multi-User License (Small, Medium, Large, Extra or Jumbo) that matches the desired quantity of CPU’s the Licensee need to install the Typeface(s) on. Font files are provided in TTF and OTF formats, have to be acquired as such, cannot be generated from web-fonts or other files and may be used offline only. To use the Typeface(s) at more than one geographic location requires the purchase of a separate license for each location for the number of Users at each location.
The standard Single License (Mini) allows the use of the Typeface(s) for a defined number of views a website usually receives per month. The standard Single License (Mini) covers 1-10,000 website views per month. In the case of higher monthly web traffic, the Licensee must purchase a Multi-User License according to the traffic of the website (Small, Medium, Large, Extra or Jumbo). In the case of an increase in visitor numbers, the license must be updated on an annual basis. In the case of the closure of a website, the Typeface(s) and/or the license to use the Typeface(s) cannot be transferred. Use of the Licensed Web Fonts with technologies other than @font-face, such as IFR, Cufón or Typeface.js, is not allowed. The Typeface(s) for web are provided in WOFF, WOFF2 and EOT formats and must be self-hosted on the Licensee’s server(s). Web-fonts have to be acquired as such and cannot be generated from print-fonts or other files.
↵ LOGO LICENSE
If the Typeface(s) are used in the logo or wordmark of a medium/large-sized business enterprise or company, an additional fee applies. It depends on the yearly gross revenue of the enterprise/ company.
↵ OTHER LICENSES
Other licensing constructions are available upon request, these include the use of the Typeface(s) in EPUBs, Applications or in Broadcasting/Streaming.
↵ TRIAL VERSION
Trial versions of the Typeface(s) are for testing and must never be published publicly in any capacity, commercial, educational or personal. Trial version(s) may be installed on an unlimited number of work stations for an unlimited time. Trial version(s) must be used for test purpose(s) and internal, non-commercial, or educational and student projects only. Trial version(s) are provided in TTF format and may be used offline only. Trial version(s) only contain a limited character set and no OpenType features.
↵ LIMITATIONS AND PERMISSIONS
You are not permitted to:
— Edit, alter, modify, adapt or otherwise change the whole or any part of the Typeface(s) nor permit the whole or any part of the Typeface(s) to be combined with or become incorporated in any other typeface, nor decompile, disassemble or reverse engineer the Typeface(s) or attempt to do any such things
— Reproduce, share, copy, distribute, resell or otherwise use the Typeface(s)
— Allow any third party to use the Typeface(s) on behalf of or for the benefit of any third party
— Use the Typeface(s) in any way which breaches any applicable local, national or international law
— Use the Typeface(s) for any purpose that Laura Csocsán considers is a breach of this EULA agreement
The Licensee is allowed to pass on the Typeface(s) for general output purposes, e.g. to a digital printer. However, the Typeface(s) must be used only for the specified output process. Service contractors realizing an output must not create new documents with the Typeface(s) or manipulate documents being output in any way. If a service contractor is required to do this, they must purchase an additional license.
Embedding of the Typeface(s) to any external software for any other reason than an output being realized (e.g. in a PDF to the printers) is prohibited. Internal documents with the Typeface(s) embedded are allowed, but must never be made public. The Typeface(s) may be embedded into public PDF files as vector outlines. The Licensee will take all reasonable care to embed the Typeface(s) in such a way that it cannot be extracted from the files the Licensee create. A copy of the Typeface(s) may be sent as part of a file release to a prepress bureau, if absolutely necessary.
↵ INTELLECTUAL PROPERTY AND OWNERSHIP
Laura Csocsán shall at all times retain ownership of the Typeface(s) as originally downloaded by the Licensee. The Typeface(s) (and the copyright, and other intellectual property rights of whatever nature in the Typeface(s),—including any modifications made thereto—are and shall remain the property of Laura Csocsán. The Licensee is purchasing a license effectively to use the Typeface(s), the Licensee does not own the Typeface(s) design, the Licensee is only purchasing the right to use the Typeface(s) and become a License Owner („Licensee“). Laura Csocsán reserves the right to grant licenses to use the Typeface(s) to third parties.
↵ DISCLAIMERS OF WARRANTIES AND LIABILITY
In no event will Laura Csocsán be liable to the Licensee for any consequential or incidental damages, including any lost revenue, profits, goodwill or savings, or for any claim by any third party. Font files that are provided to a licensed user must be returned 15 days after sale if found to be defective. The Typeface(s) are not warranted to operate on all computer operating systems. Laura Csocsán is not responsible for operating system errors or inoperability faults.
↵ TERMINATION
This License Agreement is effective as of the date of full payment for the adequate License. This License Agreement may be terminated by the Licensee at any time by destroying the Typeface(s) together with any printed material and all copies of the Typeface(s). It will also terminate immediately if the Licensee fails to comply with any term of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and the Licensee agrees to stop all access and use of the Typeface(s). The provisions that by their nature continue and survive will survive any termination of this EULA agreement. Laura Csocsán reserves the right to update this agreement at any time without prior consent, notice or permission.
↵ GOVERNING LAW
This EULA agreement and any dispute arising out of or in connection with this EULA agreement shall be governed by and construed in accordance with the laws of Hungary.
↵ FINAL PROVISIONS
If custom modifications are needed to be made for the Typeface(s), please contact Laura Csocsán directly at the given email address. Modified Typefaces remain subject to the same copyright as non-modified. Legal action will be pursued if the Licensee is found to be using the Typeface(s) illegally. Laura Csocsán may, at any time, request an audit in order to confirm that the Licensee is complying with the terms of this EULA.↵
